Terms of Service

You accept these Terms by checking the acceptance box when you create a DrayageRX account. We record the date, time and version of the Terms you accepted. If you do not accept them, do not create an account and do not use the platform.

If you are creating an account for a company, you confirm you are authorized to bind that company, and “you” in these Terms means both you and that company.

We may update these Terms. Material changes will be published on this page with a new version and effective date, and continued use after that date is acceptance of the updated Terms. We may also ask you to re-accept them in the application.

DrayageRX is a neutral marketplace. We are not a broker, a freight forwarder, a carrier, a motor carrier, a shipper of record, or a party to any transportation contract formed through the platform. We do not take possession of freight, do not arrange transportation for compensation as a broker, and do not guarantee that any move will be bid on, awarded, accepted, or performed.

When a shipper awards a move to a carrier, the resulting agreement is between the shipper and the carrier alone. Rates, accessorials, detention, claims, insurance, cargo liability, payment, and performance are matters between those two parties. We are not responsible for, and do not adjudicate, disputes between them.

Each party is responsible for its own regulatory compliance, including operating authority, insurance, licensing, safety ratings and hours-of-service obligations. We may check public FMCSA data when reviewing a carrier account, but that check is not an endorsement, a verification, or a representation that a carrier is fit, insured, or authorized.

You must provide accurate, current and complete information when registering — including a business name, contact name, phone number and email address, and for carriers a USDOT number. You must keep it accurate. Accounts are for business use by people aged 18 or over.

You are responsible for everything that happens under your account and for keeping your password confidential. Tell us promptly at hello@drayagerx.com if you believe your account has been used without your authorization.

Carrier accounts require approval before they can bid. We may approve, decline, limit, or revoke approval at our discretion, including on the basis of public safety and authority data.

By using the platform you agree that:

• A bid is a genuine, good-faith offer to perform the move at the all-in rate quoted, and you are able to perform it if awarded.
• You will not place bids you do not intend to honor, bid to manipulate pricing or rankings, or bid on behalf of a carrier without its authorization.
• A posted move reflects a real transportation need, and a shipper will not post moves solely to collect market pricing.
• Once a move is awarded, both parties will deal with each other in good faith and perform what they agreed.
• You will not use the platform to circumvent it — soliciting a counterparty you found here in order to move the transaction off-platform and avoid fees is a breach of these Terms.
• You will not misrepresent your identity, company, authority, insurance, equipment or operating status.

Shipper identity and exact addresses are disclosed to a carrier only when a move is awarded. That information is provided for performing that move and for no other purpose.

You keep ownership of the content you submit — your move postings, bids, company details, notes and availability postings (“Your Content”). We do not claim ownership of it.

You grant DrayageRX a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, transmit and adapt Your Content for the purpose of operating, securing, supporting and improving the platform — including displaying your postings to the counterparties they are meant to reach, and sending them in platform notifications and emails. This license lasts as long as we host the content and survives only as far as needed for backups, legal obligations and dispute records.

You confirm you have the right to submit Your Content and that it does not infringe anyone else’s rights or break any law.

The platform — the software, interfaces, design, text, graphics, logos, the DrayageRX name and marks, and the compilations, aggregates and derived analytics we generate from activity on it — is owned by DrayageRX and protected by intellectual property law. Nothing in these Terms transfers any of it to you.

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the platform for your own business use, in accordance with these Terms. That license ends when your account does.

Market data, rate aggregates and other statistics we derive from platform activity are ours. Where we publish or share them, we do so in aggregated or de-identified form.

You must not, and must not permit anyone else to:

• Scrape, crawl, spider, harvest, index or systematically collect any data from the platform by any automated or manual means.
• Extract, copy, compile, republish, resell, license or redistribute any listings, rates, bids, carrier or shipper details, contact information, or any other platform data.
• Collect or harvest names, email addresses, phone numbers or company details of other users, for solicitation or for any other purpose.
• Access the platform through automated means, including bots, scripts or headless browsers, or use any interface other than the one we provide, without our prior written consent.
• Reverse engineer, decompile or disassemble any part of the platform, or attempt to derive its source code.
• Circumvent, disable or interfere with security, authentication, rate limiting, or access controls — including using another user's account or credentials.
• Probe, scan, load-test or otherwise stress the platform, or introduce malware or any other harmful code.
• Use the platform to build, train or improve a competing product or service, or any dataset or model derived from it.
• Use the platform for anything unlawful, or in breach of transportation, sanctions, privacy or anti-spam law.

Access to the platform is licensed for direct business use by you. It does not grant any right to the data behind it, and no volume of legitimate use creates a right to bulk-extract it.

Where fees apply, they will be disclosed to you before you incur them. We may introduce or change fees on reasonable notice; changes do not apply retroactively to moves already awarded.

You may stop using the platform and ask us to close your account at any time by emailing hello@drayagerx.com.

We may suspend or terminate your account, or limit your access, with or without notice, if we reasonably believe you have breached these Terms — in particular the conduct and prohibited-use clauses above — or if your account creates legal, security or safety risk, or if you have provided false information.

On termination, your license to use the platform ends immediately. Clauses that by their nature should survive — ownership, prohibited use, disclaimers, liability limits, indemnity and governing law — survive termination. We may retain records as described in the Privacy Policy and as required by law.

The platform is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, title or non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or secure, or that any content, rate or counterparty information is accurate or complete.

We do not verify or endorse users beyond the limited checks described in these Terms. You are responsible for your own diligence on anyone you transact with.

To the fullest extent permitted by law, DrayageRX and its officers, employees and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, goodwill, freight, cargo or data, arising out of or relating to the platform or these Terms, whether in contract, tort or otherwise, and whether or not we were advised of the possibility.

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the platform or these Terms will not exceed the greater of (a) the total fees you paid us in the three months before the event giving rise to the claim, or (b) one hundred US dollars ($100).

We are not liable for cargo loss or damage, freight charges, detention, demurrage, per diem, non-performance by a counterparty, or any obligation arising from a transportation contract between a shipper and a carrier — none of which are contracts we are party to.

Some jurisdictions do not allow certain exclusions, so parts of this clause may not apply to you. Nothing here limits liability that cannot lawfully be limited.

You will indemnify and hold harmless DrayageRX and its officers, employees and agents from any claim, loss, liability, damage, fine or expense (including reasonable legal fees) arising from your use of the platform, Your Content, your breach of these Terms, your breach of law, or any dispute between you and another user.

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules. You and DrayageRX submit to the exclusive jurisdiction of the state and federal courts located in New Jersey, and each waives any objection to venue there.

Before filing anything, you agree to contact us at hello@drayagerx.com and give us thirty days to resolve the issue informally.

These Terms, together with the Privacy Policy, are the entire agreement between you and DrayageRX about the platform. If any provision is held unenforceable, the rest stays in force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.
